1. Acceptance of Terms

By accessing or using the Uniqsale platform and services ("Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Uniqsale provides an AI-powered analytics and personalization platform for e-commerce, including:

  • JavaScript SDK for tracking user interactions on your storefront
  • Experience creation and variant deployment
  • AI-generated insights and experience recommendations
  • Analytics dashboard for monitoring performance
  • Shopify app integration for seamless store connection

3. Account Registration

To use our Services, you must create an account. You agree to provide accurate information, maintain the security of your credentials, and notify us of any unauthorized access. You are responsible for all activities under your account.

4. Acceptable Use

You agree not to:

  • Use the Services for illegal purposes or in violation of any laws
  • Collect data without proper consent or disclosure to end users
  • Attempt to reverse engineer, decompile, or extract source code
  • Create experiences that deceive users or employ dark patterns
  • Resell or sublicense access without authorization
  • Interfere with or disrupt the Services or circumvent security measures

5. Your Responsibilities

As a user of our Services, you are responsible for:

  • Compliance with applicable laws (GDPR, CCPA, etc.) in your jurisdiction
  • Obtaining necessary consents from your website visitors before enabling tracking
  • Disclosing the use of our SDK in your privacy policy
  • Ensuring experiences do not violate consumer protection laws

6. Intellectual Property

Uniqsale retains all rights in the Services, software, technology, and AI models. You retain ownership of your website content, product data, and experience configurations. By using our Services, you grant us a license to use your content as necessary to provide the Services.

7. Data Processing

Processing of personal data is governed by our Data Processing Agreement and Privacy Policy. By using our Services, you agree to these data processing terms.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted or error-free.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIQSALE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Our total liability shall not exceed the amounts paid by you in the 12 months preceding the claim.

9A. Third-Party Site and Integration Disclaimer

(a) NO RESPONSIBILITY FOR CUSTOMER SITES. You acknowledge that the Uniqsale SDK operates within the environment of your website or storefront ("Customer Site"). UNIQSALE SHALL NOT BE LIABLE FOR:

  • Any downtime, performance degradation, latency, or availability issues affecting your Customer Site
  • Bugs, errors, malfunctions, or unexpected behavior on your Customer Site, including interactions between the SDK and your site's code, theme, plugins, or third-party scripts
  • Loss of revenue, sales, conversions, or business opportunities arising from any issues on your Customer Site
  • Conflicts between the SDK and other scripts, extensions, applications, or code
  • Browser compatibility issues or rendering problems experienced by your end users
  • Any damages, claims, or liabilities arising from experiences deployed on your Customer Site

(b) CUSTOMER RESPONSIBILITY. You are solely responsible for:

  • Testing the SDK and experiences in staging before deploying to production
  • Monitoring your Customer Site's performance after SDK installation
  • Ensuring experiences comply with applicable laws
  • Maintaining backups and the ability to remove the SDK if issues arise
  • Any third-party claims arising from content, pricing, offers, or representations displayed through experiences

(c) INDEMNIFICATION. You agree to indemnify, defend, and hold harmless Uniqsale from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Services, experiences you deploy, your violation of applicable laws, or claims by your end users.

(d) LIABILITY CAP. Uniqsale's total aggregate liability for any claims arising from SDK operation on your Customer Site shall not exceed the lesser of (a) fees paid in the three months preceding the claim, or (b) USD $500.

10. Termination

Either party may terminate these Terms at any time. Upon termination, your right to use the Services ends immediately. We may suspend or terminate your access immediately for material breach or illegal activity. Data will be deleted according to our retention policy within 30 days of termination.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or dashboard notification at least 14 days in advance. Continued use of the Services after changes constitutes acceptance of the new Terms.
